Terms of Service
Effective date: August 7, 2026
These Terms of Service (“Terms”) govern access to and use of the DocuSub Document Tracker web application at www.docusub.com and related experiences, including embed login pages (the “Service”), operated by DocuSub (“DocuSub,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
1. The Service
DocuSub provides a multi-tenant software portal that helps general contractors (GCs):
- Define document requirements for projects (including one-time and recurring periods).
- Invite and manage subcontractor companies and users.
- Collect PDF uploads, review/approve/reject/reopen submissions, and track document status.
- View payment-readiness indicators based on document requirement status (not a payment, escrow, or banking service).
- Receive platform alerts and, optionally, send operational emails from a connected GC mailbox.
Features may change over time. We may add, modify, or discontinue functionality with or without notice, except where prohibited by law or a separate written agreement.
2. Accounts and roles
- You must provide accurate account information and keep credentials confidential.
- Roles include GC admin/staff, subcontractor users, and platform system administrators. Access is limited by role and tenant boundaries.
- GC organizations are responsible for users they invite and for activity under their tenant.
- You must promptly notify us of unauthorized access to your account.
3. Customer content and documents
- You retain ownership of content you submit to the Service, including PDFs, notes, project data, and organization information (“Customer Content”).
- You grant DocuSub a limited license to host, process, transmit, display, and back up Customer Content solely to provide and secure the Service.
- You represent that you have all rights and consents needed to upload Customer Content and to invite contacts (including subcontractor emails) into the Service.
- Do not upload unlawful, infringing, malicious, or unrelated personal data beyond what is needed for legitimate project document workflows.
4. Email, invites, and mailbox connections
- The Service may send invite, password-reset, reminder, review, and operational emails. Message channels may include our auth provider, our transactional email provider, and—if enabled—your connected Gmail or Outlook account.
- Connecting a mailbox authorizes DocuSub to obtain and store OAuth tokens (encrypted) and to send mail using the scopes granted (send-oriented scopes). You can disconnect at any time in Settings.
- You are responsible for complying with anti-spam, employment, and privacy laws when inviting users or sending messages to subcontractors.
- Platform upload-activity alerts are separate from GC mailbox send and may go to the tenant’s configured notification email.
5. Acceptable use
You agree not to:
- Attempt to access another tenant’s data or bypass authentication, roles, or security controls.
- Probe, scan, or overload the Service; reverse engineer except where permitted by law.
- Upload malware or use the Service to distribute spam or unlawful content.
- Misrepresent your identity or affiliation when using invite or email features.
- Use the Service in violation of applicable law or third-party rights.
6. Third-party services
The Service relies on third-party infrastructure and APIs (including hosting, database/auth storage, email delivery, delayed job scheduling, and Google/Microsoft OAuth when used). Your use of those providers’ products may also be subject to their terms. We are not responsible for outages or changes outside our reasonable control.
7. Confidentiality and security
Each party will use reasonable care to protect the other’s confidential information. You are responsible for configuring notification emails, user access, and mailbox connections appropriately for your organization. See our Privacy Policy for how we handle personal information.
8. Fees
If paid plans or subscription features are offered, fees, billing terms, and plan limits will be described at purchase or in a separate order form. Unpaid amounts may result in suspension. Unless stated otherwise, fees are non-refundable.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCUSUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DOCUMENT STATUS OR “PAYMENT READINESS” INDICATORS MEET ANY LEGAL, CONTRACTUAL, OR LENDER REQUIREMENT. THOSE INDICATORS ARE OPERATIONAL TOOLS ONLY.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCUSUB AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO DOCUSUB FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID FEES).
11. Indemnification
You will defend and indemnify DocuSub against claims, damages, and expenses arising from your Customer Content, your invitations/emails to third parties, your misuse of the Service, or your violation of these Terms or applicable law.
12. Suspension and termination
- You may stop using the Service at any time.
- We may suspend or terminate access for violations of these Terms, security risk, nonpayment, or prolonged inactivity.
- Upon termination, your right to use the Service ends. We may delete or disable access to Customer Content after a reasonable period, subject to legal retention obligations and our Privacy Policy.
13. Changes to the Terms
We may update these Terms by posting a revised version on this page with an updated effective date. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.
14. Governing law
These Terms are governed by the laws of the State of California, USA, excluding conflict-of-law rules, unless a mandatory local law requires otherwise. Courts located in California will have exclusive jurisdiction over disputes, except where prohibited.
